Terms and Conditions
1. This Yahoo! Hack & Roll Contest (the “Contest”) is sponsored and run by Yahoo! Southeast Asia Pte. Ltd. (Singapore Co. Reg. No. 199700735D), a company incorporated in Singapore and located at 60 Anson Road, #13-01 Mapletree Anson, Singapore 079914 ("Yahoo!").
2. By entering the Contest, contestants agree to these terms and conditions (“T&C”) which will at that time become binding between contestants and Yahoo!. Contestants’ participation in the Contest is in consideration of Yahoo! allowing contestants to enter it and giving contestants the opportunity to win the prizes.
3. No purchase is necessary in order to enter the Contest. There is no fee charged to enter into the Contest other than the cost of contestant accessing the Internet which contestant would otherwise have.
4. About the Contest: Yahoo! is seeking creative software applications developed for Yahoo! Koprol (each a “Hack”). During the 1st phase of the Contest, contestants will submit an idea and outline of their intended Hack. During the 2nd phase of the Contest, Yahoo! will select a number of submissions and the selected contestants will create and submit their Hacks and Yahoo! will select a winner.
5. Eligibility:
5.1. The Contest is open only to any natural person who: (a) is 18 years of age or older and (b) otherwise meet all eligibility requirements in these T&C. Employees of Yahoo! or any of its group companies or its agencies associated with the Contest are not eligible to enter or participate.
5.2. Yahoo! will be concurrently sponsoring and running a similar contest in Indonesia / Philippines (the “Indonesia / Philippines Contest”). Contestants may only participate in this Contest or the Indonesia / Philippines Contest. If any contestant participates in both contests, Yahoo! reserves the right to disqualify the contestant and/or his/her Team from either or both contests.
6. Entry: Entries (each an “Entry”) may be submitted by individuals, or teams of up to 4 contestants (each a “Team”) provided that all members of the Team individually meet the eligibility criteria in paragraph 5 and agree to comply with these T&C. Each contestant can only be in one Team. Entries must be submitted at the Contest website located at http://developer.yahoo.com/hackandroll/ (the “Contest Website”) and received by Yahoo! by 2359hrs on 15 July 2011 / 0059hrs on 16 July 2011 (Jakarta, Indonesia / Manila, Philippines time). An Entry will only be valid upon Yahoo!’s actual receipt. Proof of sending (such as an automated computer acknowledgment confirming delivery of an Entry to Yahoo!) does not constitute proof of actual receipt by Yahoo! of an Entry. All (a) incomplete Entries, (b) Entries containing inaccurate particulars of the contestants, and (c) Entries which in Yahoo!’s opinion are obscene vulgar or otherwise may offend the public will be disqualified and disregarded. All Entries become the property of Yahoo! upon its receipt thereof, and none will be acknowledged or returned.
7. Contest Phases: The Contest will consist of two phases.
Phase 1 – Hack Concept
7.1. Phase 1 begins at 0000hrs on 27 June 2011 / 0100hrs on 27 June 2011 (Jakarta, Indonesia / Manila, Philippines time) and ends at 2359hrs on 15 July 2011 / 0059hrs on 16 July 2011 (Jakarta, Indonesia / Manila, Philippines time).
7.2. Contestants must follow the instructions on the Contest Website to submit an Entry. Each contestant must provide his/her name, Yahoo! ID, email address, the name of the Hack, brief description of Hack, the names of Team members (if applicable).
7.3. The eligible Entries properly received will be reviewed in a first round of judging by a panel consisting Yahoo! engineering staff (the "First Round Judging"). Yahoo! reserves the right to extend the First Round Judging period so that all eligible Entries may be judged properly. Each Entry's score will be based on the following criteria: (i) problem definition (how well is problem defined); (ii) creativity of the hack; (iii) difficulty of problem being addressed.
7.4. Contestants selected during the First Round Judging (“Finalists”) will be eligible for Phase 2. Finalists will be contacted via email and announced on the Contest Website by 15 July 2011, or such later date as Yahoo! may determine.
Phase 2 – Hack Development
7.5. Phase 2 begins at 0000hrs on 25 July 2011 / 0100hrs on 25 July 2011 (Jakarta, Indonesia / Manila, Philippines time) and ends at 2359hrs on 12 August 2011 (Jakarta, Indonesia time) / 0059hrs on 13 August 2011 (Manila, Philippines time).
7.6. Subject always to paragraph 10, Yahoo! will provide Finalists with the Koprol API by 18 July 2011.
7.7. Finalists must program and submit their Hacks by providing the URLs where their Hacks are hosted (each a "Hack URL") via the Yahoo! Developer Network website at the following URL http://developer.yahoo.com and via email to thomasdk@yahoo-inc.com by 2359hrs on 12 August 2011 / 0059hrs on 13 August 2011 (Jakarta, Indonesia / Manila, Philippines time).
7.8. Finalists’ Hacks will be judged by a different panel of judges selected by Yahoo!. Judging will be conducted using the same criteria used in the First Round Judging. Judges will determine the winners of the respective prizes.
8. All Entry Materials become the property of Yahoo! and will not be returned. Subject to paragraph 10, you retain any intellectual property associated with your Hack submission. For the purposes of this Contest and these T&C, "receipt" occurs upon proper completion and submission of an Entry or the proper submission of the Hack URL, as the case may be. Any automated computer receipt (such as one confirming delivery of email or a "thanks for entering" message) does not constitute proof of actual receipt of an Entry or a Hack URL by Yahoo!. Yahoo! assumes no responsibility for advising an entrant of an incomplete or otherwise non-compliant submission. Late, unintelligible, incomplete, mutilated or garbled Entries will be disqualified.
9. Prizes and Winners Announcement:
9.1. Winners will be announced at an event currently expected to be held at Yahoo!'s office in Jakarta, Indonesia / Manila, Philippines, between 15 and 19 August 2011 (the “Event”). Details of the Event will be informed by Yahoo! to Finalists via email and posted on the Contest Website. Finalists and winners must be present at the Event. If a winner or any member of a winning Team is not present at the Event without the prior written consent of Yahoo!, Yahoo! reserves the right to disqualify the winner or the winning Team and select an alternate winner or winning Team. In the event that the Event is postponed or cancelled, notice will be posted on the Contest Website and/or winners will be notified via email.
9.2. One (1) First Prize winner (per Team regardless of number of members) will receive a Microsoft Xbox with Kinect or other prize of equal or greater value. One (1) Second Prize winner (per Team regardless of number of members) will receive a Sony PlayStation 3 or other prize of equal or greater value. One (1) Third Prize winner (per Team regardless of number of members) will receive a Nintendo Wii or other prize of equal or greater value.
9.3. Prizes may not be transferred or assigned except by Yahoo!. Prizes cannot be used in conjunction with any other promotion or offer and may not be separated. Any portion of a prize not used by a winner is forfeited. Only listed prizes will be awarded and no substitutions, cash equivalents or redemptions will be made, except that Yahoo! reserves the right to substitute any prize or component of a prize package with another prize of equal or greater value for any reason. Yahoo! reserves the right to select the mode and method as to how each prize is to be sent or given to or collected by the winner. Yahoo! will attempt to provide winners with prizes named, however, winners are not guaranteed to receive their first choice. All prizing details not provided in these T&C are at Yahoo!'s sole discretion. Reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of a prize are the sole responsibility of the winner of that prize. Yahoo! expressly disclaims any responsibility or liability for any damage, injury or loss to or suffered by any person, entity or property directly or indirectly arising from or relating to the delivery, collection and/or subsequent use of any prize. Yahoo! makes no representations or warranties, whether express or implied, or in fact or in law, concerning the quality, appearance, safety or performance of any prize awarded. Yahoo! is not obliged to and will not replace any prize with a similar prize or any other prizes, in the event the winner and/or his/her designee or nominee are unable to enjoy the prize. Yahoo! will not replace any lost or stolen prize items. Where the prize is the right or entitlement to attend an event organised by any person other than Yahoo!, such other person is solely responsible for that event and Yahoo! is not responsible and will have no liability for the conduct (including cancellation) of that event.
9.4. Except where prohibited by law, each winner may be required to sign, notarise and return an affidavit of eligibility and/or a liability / publicity release (or equivalent document(s)) and provide any additional document or information (such as identity card or passport number, email address and mailing address) that may be required by Yahoo!. Except where prohibited by law, each winner must forward all required documents within two (2) working days following notification by Yahoo! that he/she has won a prize, failing which the relevant prize may be forfeited. The return of any prize or any prize notification as undeliverable, or any inability of the Yahoo! to contact a winner, may, at the sole and absolute discretion of Yahoo!, result in the disqualification of that winner and the selection of an alternate winner.
9.5. By accepting a prize, each winner agrees to release and hold harmless Yahoo! and its group companies, and their respective parents, companies, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind to persons, including but not limited to death, or property, resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, participation in this Contest, or while travelling to, preparing for or participating in any prize-related activity.
10. Koprol API:
10.1. Finalists will (a) hold the Koprol API in confidence, (b) not disclose or distribute the Koprol API to any third party (including without limitation, any contestant who is not Finalist), (c) use the Koprol API only for the purposes set forth in this Contest and these T&C, and (d) and to the extent applicable, not modify, reverse engineer, decompile, create other works from, or disassemble the Koprol API, unless otherwise specified in writing by Yahoo. Finalists agree and understand that Yahoo! may use Finalists’ suggestions and comments for any purpose without compensation of any kind.
10.2. At the end of this Contest, Finalists must destroy and delete all copies of the Koprol API in Finalists’ possession or control (including archival copies) and will certify the same if so requested by Yahoo!.
10.3. Finalists acknowledge and agree that Yahoo! owns or is the licensee of all rights, title and interest in the Koprol API, and nothing in the Contest or these T&C will confer in Finalists any right, title or interest in the Koprol API or constitute a license or transfer of ownership under any intellectual property rights of Yahoo! or its licensors.
10.4. Finalists agree that any violation or threatened violation of this paragraph 9 may cause irreparable injury to Yahoo! and that, in addition to any other available remedies, Yahoo! will be entitled to obtain injunctive relief against the breach or threatened breach of this paragraph 9 by Finalists. This paragraph 9 will survive the end of this Contest.
11. General Conditions: By entering the Contest and submitting an Entry, each contestant agrees to the following:
11.1. Contestant will be bound by these T&C, which will be posted at the Contest Website throughout this Contest, and acknowledges that failure to comply with these T&C will result in disqualification from the Contest.
11.2. Contestant will comply with and be bound by the decisions of Yahoo! and any judges relating to this Contest, which will in each case be final and binding in all respects.
11.3. Yahoo! will have the right at its sole discretion to disqualify any contestant found to be: (a) tampering or attempting to tamper with the submission of Entries, the selection process or any Yahoo! property or service; (b) violating these T&C or any applicable law or regulation; or (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Yahoo! property or service; (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Yahoo! reserves the right to disqualify any Entry which, in Yahoo!'s sole opinion, is deemed to be offensive, disparaging to the Yahoo! or otherwise portraying Yahoo! in a negative manner, libellous, slanderous, inflammatory, or otherwise inappropriate in any way for this Contest.
11.4. CAUTION: ANY ATTEMPT BY A CONTESTANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST OR SELECTION PROCESS MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. IN THE EVENT OF ANY SUCH ATTEMPT, YAHOO! RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
11.5. CONTESTANT WARRANTS AND REPRESENTS THAT HE/SHE OWNS ALL RIGHTS TO THE ENTRY HE/SHE IS SUBMITTING, INCLUDING, WITHOUT LIMITATION, ALL CONTENT, INCLUDING BUT NOT LIMITED TO IMAGES, TEXT, OR OTHER COPYRIGHTABLE MATERIAL, TRADEMARKS, SERVICE MARKS, LOGOS OR ANY OTHER INTELLECTUAL PROPERTY CONTAINED WITHIN THE ENTRY URLS (COLLECTIVELY, THE "ENTRY MATERIALS"), AND CAN PROVIDE WRITTEN CONFIRMATION OF ANY OF THE ABOVE UPON REQUEST.
11.6. CONTESTANT WARRANTS AND REPRESENTS THAT: (i) HIS/HER ENTRY MATERIALS ARE ORIGINAL AND HAVE BEEN LEGALLY OBTAINED AND CREATED, AND DO NOT INFRINGE THE INTELLECTUAL PROPERTY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY; (ii) THE ENTRY MATERIALS HE/SHE IS SUBMITTING ARE NOT CURRENTLY UNDER CONSIDERATION FOR ANY OTHER AWARD, CONTEST, OR PROMOTION; (iii) HE/SHE WILL NOT OTHERWISE SUBMIT THE ENTRY MATERIALS TO ANY OTHER ENTITY FOR ENTRY IN A COMPETITION OR PROMOTION FOR A PERIOD OF ONE YEAR AFTER THE CONCLUSION OF THE CONTEST PERIOD.
11.7. Contestant grants to Yahoo! and its affiliates, legal representatives, assigns and licensees, the right and permission to copyright (as appropriate), reproduce, encode, store, copy, transmit, publish, broadcast, display, publicly perform, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the entrant's name, address, image, voice, likeness, statements, biographical material and Entry Materials (in each case, as submitted or as edited by Yahoo!, in Yahoo!'s sole discretion), as well as any additional photographic images, video images, portraits, interviews or other materials relating to the entrant and arising out of his/her participation in this competition (with or without using the entrant's name) (collectively, the "Additional Materials") in any media throughout the world for advertising and publicity purposes without additional review, compensation, or approval,
11.8. Contestant understands that Yahoo! may currently or in the future be developing products, services, concepts, systems, methods or techniques internally, or receiving information from other parties that may be similar to the Entry Materials. Yahoo!'s receipt of Entry Materials will not prohibit or in any way limit Yahoo! from developing (or having developed for it) products, services, concepts, systems, methods or techniques that are similar to or compete with the products, concepts, systems, methods or techniques contemplated by or embodied in the Entry Materials;
11.9. Contestant agrees to indemnify and hold Yahoo! and its respective subsidiaries, affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Contest Indemnities"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Contest Indemnities due to or arising out of the contestant's Entry Materials or Additional Materials in this Contest, or the entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy and defamation.
11.10. Yahoo! assumes no responsibility and is not responsible or liable in any way for:
11.10.1. any lost, late, misdirected, illegible, or mutilated Entries;
11.10.2. any theft, destruction or alteration of, or unauthorized access to, any Entries;
11.10.3. any incorrect or inaccurate information, whether caused by website users, any of the equipment or programming associated with or utilized in the selection process, or any technical or human error which may occur in the processing of Entries;
11.10.4. any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing; and
11.10.5. any injury or damage to contestants or to any computer related to or resulting from participating or downloading materials relating to the Entries.
11.11. Privacy and Terms of Service: Yahoo!'s use of contestant’s personal information as described in Yahoo!'s Privacy Policy, located at http://info.yahoo.com/privacy/sg/yahoo/. Contestant will abide by the Terms of Service located at http://sg.docs.yahoo.com/info/terms/ and whose terms, in addition to the Privacy Policy are incorporated herein.
11.12. Limitations of Liability: Yahoo! and its group companies and their directors, employees and agents assume (“Yahoo! Entities”) no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Contest, or for theft, destruction or unauthorized access to, or alteration of, Entry Materials. Yahoo! Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, contestants or any of the equipment or programming associated with or utilized in the Contest; or for any technical or human error which may occur in the processing of submissions in the Contest. Yahoo! Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Contest Website or any website submitted in connection with an Entry in this Contest). Yahoo! Entities are not responsible for any injury or damage to contestants or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures, or any other causes beyond the control of Yahoo! Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Yahoo! reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest and select winners from among that portion of the Contest that has not been compromised, if any.
11.13. Governing Law and Disputes: This Contest and these T&C will be governed by Singapore law and contestants will submit to the exclusive jurisdiction of the Singapore courts in respect of all disputes arising hereunder.
11.14. These T&C, and any instructions from Yahoo!, constitute the entire agreement between contestants and Yahoo!, superseding any prior agreements between contestants and Yahoo! in relation to the Contest. Any failure or delay by Yahoo! in exercising or enforcing, or partial exercise or enforcement of, any right or provision of these T&C will not constitute a waiver of such right or provision (or waive any further exercise or enforcement) or any other right or provision. If any provision of these T&C is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision and the other provisions of the terms and conditions will remain in full force and effect.
